浅析我国公司瑕疵设立制度的立法缺陷及其完善

Analysis on Defects in Legislation of Defective Incorporation System and Their Perfecting

我国现行公司法尚未确立完善的公司瑕疵设立及其救济制度,而瑕疵设立的公司又会对社会经济生活造成消极的影响,因此,在借鉴其他国家立法及理论的基础上,研究适合我国国情的公司瑕疵设立制度具有重要意义。分析我国公司瑕疵设立制度的立法规定,并结合两大法系公司瑕疵设立制度科学合理之处,评析了我国《公司法》规定的公司瑕疵设立制度存在的缺陷并提出了相关完善措施。

The existing Company Law of China has not established a sound defective incorporation and its relief system.We know defective incorporation will have a negative impact on social and economic life.So a study on the basis of legislation and theory of other countries will be of great importance.This article will analysis the defection of our company law and put forward some relevant measures.
