摘要
根据我国1342家上市公司2007年年报的数据,董事会和监事会薪酬差距越大,公司绩效越高,从而支持锦标赛理论。另外,由于监事会监督权利的流于形式,使得控制权转移到了董事会的手中,存在着董事会"专断薪酬"的现象,导致锦标赛激励在我国上市公司中被扭曲,所以我国上市公司应加强监事会监督权利的实施。
On the basis of the annual data in 2007 from 1342 listed corporations,the deeper the compensation gap between board of directors and board of supervisors,the higher the corporation performance.Thus it supports the tournament theory.The control right is shifted into the hand of board of directors because of the formalistic supervising right,therefore there exist the situation that the board of directors is arbitrary in pay system that leads to the possibility that tournament incentive could be twisted in listed corporations in China.Therefore the listed corporations in China must strengthen the implementation of supervising right owned by board of supervisors.
