股权激励是上市公司董事会治理的一项关键内容,关系到董事会及公司的治理绩效。用董事持股比例、持股数量以及持股市值3个变量描述董事持股状况,将其与公司业绩的相关性进行实证分析,得出董事股权激励与公司业绩成正相关关系,这种正相关关系在考虑股权结构的情况下,对第一大股东为法人股的上市公司更为显著。最后提出加强股权激励,提高公司治理绩效的政策建议。

Stock ownership is the key elements of board governance that relates to the corporate performance.The positive correlation of the stock ownership and corporate performance was analyzed using three variables as stock ownership including stock proportion,amount and worth.The positive correlation was more marked for corporation share when ownership structure was considered.Finally,a series of suggestions for enhancing the efficiency of corporate performance were put forward.
