试论隐名股东资格的认定

On Confirming the Qualification of Dormant Shareholder

通过对隐名股东资格认定现行立法规定及司法实践研究的基础上,提出认定股东资格应当以确定该法律关系的主体为起点,同时分析各种法律文件的证明效力,最终确定隐名股东资格的认定应当是以股东名册为主的内外统一的标准。

Based on the current regulations and judicial practice about dormant shareholders,the writer of this article proposes that the identification of a dormant shareholder should start from establishing the subject of the legal relationship and analyze the confirmative effectiveness of legal documents,and suggests that the final confirmation of a dormant shareholder should be based on a uniform standard according to the registered shareholders.
