公司治理之间大的差异,尤其是公司治理主权型模式的差异,是谁是所有者和为谁而存在的这两个"谁"是否一致的差异。对不同公司治理的形成产生较大影响的是交易成本、股份结构、合同内容不完整性、路径依赖性问题,而根据它们之间的不同内容,公司治理拥有的价值也不同。公司治理模式在各国表现不同的主要原因不是交易成本的不同,而是社会情况、文化背景的差异。

These are important difference about two ＂who＂,one is a problem about who is owner and the other problem is about company exists for whom.Transaction costs Approach,The stocks structure,path-dependency can explain these problems,however company exists in the society and they receive big influence from society,the culture,and social system.So,these differences of corporate governance also originate from these differences of society situation and culture background.
