完善的内部治理结构与治理机制是美国大学有效运行的必然要求。首先基于委托代理的角度,分析了美国大学代管的国家实验室的外部治理结构,再分析了其内部治理结构,进一步分析了这种内部治理结构对于大学和实验室主任控制能力的获得,最后为了使组织有效运行,从完善其内外部治理结构角度分析美国大学代管的国家实验室的治理机制并作出合理选择。

Perfect internal governance structure and governance mechanism is an inevitable requirement for American university effective operation. Firstly, we analyze the external governance structure of government-owned and university-operated national laboratory in American from the theory of Principal-Agent perspective. Secondly,we analyze its internal governance structure and analyze the internal governance structure to help the university and laboratory director access control. Finally, in order to improve the organization run effectively, we analyze the governance mechanisms of National Laboratory and help it to make rational choices from internal and external governance structure perspective.
