摘要
本文从公司治理理论和委托代理理论出发,结合国有独资公司外部董事制度实施中出现的问题,旨在构建适合国有控股集团的外部董事制度,并逐步形成外部董事人才市场,以市场的竞争机制来保证人才的流动并完善外部董事制度,充分发挥外部董事制度的积极作用,最终完善国有控股集团的公司治理结构。
From the corporate governance theory and agent theory,the combination of outside directors of state-owned sole proprietorship implementation problems,the article tries to build for state-controlled groups outside directors; and gradually form an outside director talent market,market competitive mechanism to ensure the mobility of personnel and improved external director system,and give full play the positive role of outside directors ultimately improve corporate governance of state-owned holding group structure.
