摘要
受英国法律的影响,南非关于并购监管的法律规则相当完备。其公司法、证券法以及劳工法和反垄断法都对发生在南非境内的公司股权或资产的并购进行了相应的规范。南非明确的法律规则和法律体系,为包括中国企业在内的海外投资并购者提供了比较透明和完善的并购环境和法律保障,这有利于海外投资者在南非投资并购活动的顺利进行。
Influenced by British laws, supervision rules and laws of corporate merger in South Africa are very perfect. Corporate Law, Security Law, Labor Law and Antimonopoly Law all regulate asset acquisition and share acquistion in South Africa. The clear legal rules and legal system in South Africa provide foreign investors, including Chinese inverstors, with a transparent and perfect merger environment and legal support, which is beneficial to smooth operation of corporate merger.
