论我国有限责任公司股权转让制度

On the Share Transfer of the Limited Liability Company of China

我国《公司法》专章规定了有限责任公司股权转让制度,包括股权内部转让自由、股权外部转让受限、股权转让的记载与登记、股权的强制执行、股权回购、股权继承六项制度,标志着我国有限责任公司股权转让制度的基本完善。但该制度仍存在一定不足,应从瑕疵出资股权的转让、转让部分权能的股权转让、侵犯股东优先认购权的股权转让、非协议转让股权等几方面进行完善。

The company law in China devotes one chapter to definite the share transfer of the Limited Liability Company, which includes free inside transfer, limited outside transfer, and the six systems of the stock rights’ registration, enforcement, buy-back and inheritance, which marks the perfection of the share transfer of the limited liability company. But the system still exist certain flaws, it is expected to improve it from the following aspects： share transfer of the blemish capital subscription, partly ownership transfer, infringing upon the priority for shareholders＇ equity transfer, and the non-agreement transfer.
