摘要
中国煤炭地质总局进行省局大公司改革的模式为国有一人有限公司,该模式无论从决策快速反应还是保护企业经营都是目前比较现实的选择,但也不可避免隐伏着诸如权利制衡等方面的缺陷。通过阐述法人治理结构必要性,提出了建立完善省局大公司法人治理结构应采取的措施:建立和完善董事会,规范董事会权责;建立和完善监事会,充分发挥监事会职能,实现权力制衡;逐步引进外部监事制度;理顺董事会与经理层的关系,强化对经理人员的监督和行为约束;发挥党组织的政治核心作用。
The mode of provincial bureau majors reform carried out by the China National Administration of Coal Geology is state one man company limited.Whether from decision-making quick response or from protecting enterprise management,the mode is a rather realistic selection at present,but inevitably lie concealed bugs such as checks and balances etc.Through corporate governance institution necessity expounding,put forward suggestions of measures should be adopted to establish and perfect provincial bureau majors corporate governance institution;establish and perfect directorate,standardize directorate power and responsibility;establish and perfect board of supervisors,give rein to board of supervisors,realize checks and balances;successively fetch in exterior supervisory system;harmonize relation between directorate and managerial level,strengthen managerial staff supervision and action constraint mechanism;exert party organization as political nuclei.
