独立董事制度作为一个新生事物,在中国特殊的公司治理背景下迅速发展起来,但也产生了一系列亟需解决的问题。为改善公司治理环境,营造公司和谐发展氛围,有必要从指导原则上入手,拟定科学发展的理念,以指导中国独立董事制度的建设。从主体性、实事求是、知行合一和科学发展四个方面着手,加快实现独立董事制度在中国的本土化发展,促进公司的和谐发展。

To improve the corporate governance environment and create a harmonious atmosphere,China should establish guiding principles,advocating the ideology of the development of the independent director system to suggest the independent director system.From four aspects to act,such as the subjectivity principle,realistic principle,combine theory with practice principle,scientific development principle,consciously abides by the scientific development,carrying out the independent director system in China＇s localization development,promoting the corporate governance of harmony development.
