公司强制清算衍生诉讼指人民法院审理公司强制清算过程中,公司及其股东和债权人对公司清算中存在的实体问题提出异议,而要求人民法院另行处理的诉讼。《纪要》首先提出强制清算衍生诉讼的概念,从一个实务案例出发,引出问题,总结我国公司强制清算衍生诉讼的类型,分析强制清算衍生诉讼的当事人和管辖确定等实务操作问题,指出有关规定存在的问题,最后提出完善强制清算衍生诉讼法律制度的若干建议。
