摘要
职工董事制度虽在我国诸多法律、部门规章乃至自治性规范中都被得以规定,但其被边缘化的倾向极为明显。究其原因,还在于宜"粗"不宜"细"的立法指导思想造成的相关制度的模糊化。为切实实现职工董事制度设计之初衷,立法应从职工董事的角色定位、席位设计、资格确定、薪酬激励、责任规范等多角度进行相关的制度完善。
Legal system about employee director,described in laws,administrative rules and self governing regulations,is in danger of being marginalized.The main reason is quite likely the fuzzy rules caused by general guiding principles of legislation.In order to implement the value goal of employee director institution,legal system should be improved from the function,the number of employee director,the qualifications,pay system,and liability mechanism of employee director.
