Study on the Incentive Compensation System of Independent Director

独立董事制度是公司治理结构的一个重要组成部分,但由于独立董事薪酬激励不足,独立董事制度并没有起到应有的效果。本文从国内外独立董事薪酬状况出发,分析了独立董事薪酬与独立性的辩证关系,最终为完善我国建立独立董事薪酬激励制度提出政策建议。

Independent director system is an important part of corporate governance structure. But the system of the independent director is not as people anticipated, because of the insufficiency in salary inspiriting. This paper analyzes the independence of independent director and compensation at home and abroad. Ultimately, this paper offers proposals for perfecting the independent director＇s pay system.
