摘要
有限责任公司股权应当如何继承?学术界存在不同观点,新《公司法》76条确立了法定当然继承章程可以例外规定的法例,但来自学术界的不同声音并没有消失。本文通过对大陆法系、英美法系主要国家对股权继承的规定的研究,引申出了从比较法意义上对我国的借鉴意义,对我国《公司法》有关股权继承的规定提出了大胆的质疑。
How should the stock rights of companies with limited liability be inherited？ There are different answers in academic circles.Article 76 of the new Company Law has made the legislation that legal natural inheritance statutes can be prescribed exceptionally,but the different voices from academic circles haven＇t disappeared.Based on the study of the rules of stock-right inheritance in the major countries of continental legal system and Anglo-American legal system,this paper derives its reference value for China as far as the comparative Law,and questions the rules about stock-rights inheritance in China＇s Company Law.
