目的借鉴国外公司独立董事制度的相关设计和理念,构建我国的药品生产质量受权人制度。方法搜集、分析国外公司独立董事制度的作用和经验。结果与结论独立董事制度在其资格聘任设计、权力责任界定和激励约束机制等方面的完整体系,对我国具有一定的参考意义。

Objective In order to improve the domestic system about authorized person of pharmaceutical quality,the ideals and philosophy of the independent director system oversea were consulted.Methods The strategies and experience in independent director system were collected and analyzed.Results and Conclusion In the independent director system oversea,there was an integrated system including the mechanism and prescriptions in qualification and appointment,right and obligation,prompting and restriction,etc.,which might help us perfect the authorized person system in China.
