论我国商业银行的董事会治理

On the Board Governance of the Chinese Commercial Bank

通过股份制商业银行与一般上市公司从董事的规模、组织结构、董事构成和董事会治理的绩效进行比较,得出虽然商业银行董事会治理优于一般上市公司,但是还有其不足,如存在内部控制、董事会缺乏独立性等。因此要针对不足提出对策,完善其内部建设。

In this paper,comparing joint——stock commercial banks with the general public on the scale of directors,organizational structure,the composition of the board directors and the performance of board governance.It draws a conclusion that although the board governance of Commercial Banks is better than the general listed companies,the board governance of Commercial Banks has some shortcomings,Such as insiders controls,the board governance being short of independence.This paper gires Some Suggestions on hew to strengthen the independence of the board and improve the supervision mechanism.
