公司法框架下美国合伙型有限公司制度移植问题——基于法社会学的视角

Study on Legal Transplant of China＇ s Company Law from United States Limited Liability Company （LLC） —— Based on the Perspective of Sociology of Law

美国合伙型有限公司(LLC)制度,丰富了公司组织形式的创新内容,在经济全球化进程加速中,随着我国经济转型和法制建设的加速,美国合伙型有限公司(LLC)制度的比较优势决定了我国公司法针对其开展是否移植和如何移植问题的必要性与重要性。基于对美国合伙型有限公司(LLC)制度展开的一定程度的法社会学分析,可以确认我国对美国合伙型有限公司(LLC)制度的引进应有辩证思维。就现阶段而言,应开展"保守"移植的尝试。

The United States limited liability company(LLC) enriches the company form of organization of innovative content and accelerates the process of economic globalization.As China's economic restructuring and legal construction accelerate,the comparative advantage of LLC is of necessity and importance for China to decide whether and how to carry out migration.This paper is to a certain extent based on sociological analysis of the law of LLC and concludes that introducing LLC of limited liability company should have dialectical thinking.At this stage it seems proper to carry out 'conservative' transplant attempt.
