无根的“商业秘密权”——从制定法看“商业秘密权”的虚妄

Rootless Trade Secret Right:From the Aspect of Statute Law

考察美、德、法三个主要国家有关立法及TRIPs协议中相应内容,发现各种立法文件中未规定所谓"商业秘密权",甚至没有在商业秘密的定义中使用任何与"权利"有关的措辞,只有我国在表述商业秘密的概念时,直接使用了"权利人"的概念,从而引发众多学者对"商业秘密权"这样一个既无比较法渊源又无理论依据的概念的推论。这种中国特色,很大程度上是由于西法东渐过程中一些研究者不成熟或不慎重的误译所致,应予纠正。

After researching the statute law in the three main countries U. S. A. ,Germany and France, and also the correlative contents in TRIPs, we found that there are not so-called ＂trade secret right＂ stipulated in these legislative documents, and these documents did not use any diction that interrelated with ＂right＂ in the definition of ＂trade secret＂. Only in our country the statute law directly used a notion of ＂right holder＂ when ascertained the conception trade secret, which induced scholars to deduce the ＂ trade secret right＂, a conclusion neither has a comparative law source nor theoretical basis. This kind of Chinese character originated from immature or indiscreet false interpretation and should be rectified.
