摘要
临时董事救济是在公司发生僵局时,由法院任命中立的第三人担任临时董事以打破董事会势均力敌的状况。该救济方式能够在保持公司继续营业的情况下,快速解决公司僵局问题,临时董事救济具有调解与仲裁相结合的功能,遗憾的是我国尚没有建立临时董事救济制度,应修改我国公司法,明确规定临时董事救济的适用条件、临时董事的权利、义务、撤职、补偿和免责等问题。
The provisional director is a neutral third party who is appointed by a court to serve on a close corporation's deadlocked board of directors. It avoids the dissolution of the corporation and enables the business to continue operating as a going concern in the hands of its current owners, the provisional director serves a mediation-arbitration function by facilitating communication between the parties at board meetings. Therefore, China should establish provisional director remedy system for corporate deadlock to clearly define their application conditions, fights, obligations, dismissal, compensation and exemption issues.
