The paper analyzes the necessity to enhance the governance and management/control for large coal enterprises and groups.The author provides measures to improve the legal-person governance structure from 5 aspects,including the shareholder conference,the board of directors,the CEO layer,the president layer and the supervision committee,as well as measures to regulate and perfect the management/control system from aspects of strategy,capital management,finance,internal audit,human resources,safety and coordination and service platform.
