The Modernization Path of Listed Companies in China: Via the Events of Gome

文章结合2010年中期发生的国美事件,探讨了以美国公司为代表的现代公司具有的本质特征。文章根据部分上市公司的数据和案例,指出我国上市公司存在着一股独大、两权分离度低、内部治理缺乏制衡等缺陷。为此,需要建立起规模足够大、效率足够高的资本市场,培育出足够数量的理性机构投资者,彻底改革上市公司董事、独立董事和监事的选举制度,创造良好的公司运营环境,才能真正实现上市公司的现代化。

Base on the Gome Events occurred in 2010, this article discusses the essential characteristics of the modern enterprises represented by the U. S. coporations. According to some articles and case data of listed companies, points out that the existence of listed companies in China due to the dominance, the low level of the separation of management and ownership, the lack of internal governance checks and balances and other defects. We need to establish a large enough scale and enough high efficiency of capital markets, cultivate a sufficient number of rational institutional investors. We need the radical reform of listed companies, independent directors and supervi- sors of the election system to create a good environment for corporate operations, so as to modernize the listed companies.
