摘要
动产抵押物的交易会引起抵押权人和标的受让人之间的利益冲突。如何平衡这一冲突,在现行法律体系下有两种选择:或者适用"物权的排他性"原则绝对地保护抵押权人,或者遵照"物权排他性止于交易安全"以保护交易第三人。但这两种选择难免会出现顾此失彼的权利失衡。因此,改进动产抵押程序与效力,设置动产抵押物的登记对抗制度,是平衡动产抵押权人和善意取得人之间利益的较优选择。
The trade of the chattel mortgage subject could cause a conflict between the mortgagee and assignee.Under the existing legal system,there are two choices to balance the conflict: either for "the principle of the exclusive property " to protect mortgagee absolutely or following the "exclusive property limited to transaction security" to protect assignee in good faith.However,the two options will likely be in imbalance condition.Therefore,the improvement of procedures and the effectiveness of the chattel mortgage,and setting registration of chattel mortgage is an optimum choice to balance the interest between mortgagee and assignee.
