摘要
在经济全球化的大背景下,我国市场经济体制日益完善,与世界各国的贸易往来日益增多,企业之间的竞争也日益激烈。人才是企业竞争力的核心,人才流动的频繁发生引起企业商业秘密泄露的现象屡见不鲜。竞业禁止制度旨在保护企业的商业秘密不被竞争对手知悉和利用,是现代企业维护自身合法权益的重要法律手段。这一制度已经被各国广泛应用,而我国还没有形成一个相对完整的法律制度,只有一些法律规则零星散见于各种单行法和部门规章之中。需要对我国主要的一些法律规定进行整理,找出立法中的缺陷,结合各国经验,提出一些完善竞业禁止制度的立法建议。
In the context of economic globalization, China's market economy system has been improving, and growing world trade among enterprises and more competitive. Talent is the core competitiveness of enterprises, personnel flow caused by the frequent occurrence of leakage of corporate trade secrets are common occurrences. Non -competition system designed to protect corporate trade secrets are not competitors know and use modern business protect their legitimate rights and interests of an important legal means. This has been widely used in many countries, but China is still not formed a relatively complete legal system, only a few rules of law are to be found among single law and department regulations. In this paper, the major legal rules of China's sort identify the shortcomings in legislation, combined with experience of other countries, some legislative to improve non - competition system.
