"内部人控制"现象伴随着现代股份制公司的建立而滋生,其产生的根本原因是"所有者缺位"以及缺乏规范的公司治理结构。我国保险公司在股份制改造,建立法人治理结构过程中,由于激励机制和监督机制失灵导致"内部人控制"。西方国家股份制公司治理的成功经验以及我国独立董事制度的实践表明,将独立董事制度引入保险公司,对完善公司法人治理结构,建立与国际接轨的公司治理模式有着重要作用。

The phenomenon of insider-control emerges with the establishment of modern joint-stock company.The root cause of its formation is owner absence and lack of standardized corporate governance structure.In the course of the reform of joint-stock system and the establishment of corporate governance structure,owing to the failure of incentives and monitoring mechanism,insider-control appears in Chinese insurance companies.The successful experience of joint-stock corporate governance in Western countries and the practice of independent director system in our conuntry have shown that the introduction of independent director system in insurance companies plays an important role in perfecting the corporate governance structure and establishing international standardized corporate governance model.
