《1865年香港公司条例》是近代一部重要的公司法。在1946年之前,中国境内的外商企业大部分是依照这部公司法在香港注册登记的。本文以近代外商企业的进入为研究起点,在探讨1865年之前中国境内外商企业设立依据的基础上,较为详实地介绍了《1865年香港公司条例》的主要内容,深入细致地分析1865年之后至1911年间外商在华企业的注册情况,指出这部公司法最大贡献在于规范了早期外商在华企业的设立与运营,并肯定这部公司法对于加速外商在华企业资本与规模扩张所起到的重要作用。

＂Companies Ordinance, 1865＂ was an important modern company law. Before 1946, most foreign enterprises in China were registered in Hong Kong in accordance with this Act. Modern foreign enterprises to enter as the starting point for research, based on the establishment of foreign enterprises in China until 1865, this paper gives more detailed description of the main content of ＂Companies Ordinance, 1865＂, deep and detailed analysis the registration of foreign enterprises in China from 1865 to 1911, points out that the greatest contribution to this Act was to regulate the early establishment of foreign enterprises in China and their operations, and confirms its effect on accelerating scale expansion of capital of foreign enterprises in China.
