摘要
跨国并购中的知识转移问题已成为当前跨国公司理论研究的热点,而隐性知识转移问题不仅是跨国并购知识转移问题的焦点,而且也是现实经济实践的难点所在。本文从企业知识观出发,将跨国并购企业隐性知识转移机制阐释为转移触发机制、转移动力机制、组织扩散机制和知识创新机制,在此基础上对隐性知识转移问题提出了一个具有较强解释力的理论分析框架。依据此分析框架,我们发现影响跨国并购中隐性知识转移的因素主要包括隐性知识的特性、企业现有的知识存量、企业的隐性知识整合能力和并购企业文化的兼容性,这为政府和企业采取有效措施促进跨国并购中隐性知识的转移提供了理论依据。
The issue of knowledge transfer in transnational MA has become the research hotspot of the current multinationals theory.The issue of tacit knowledge transfer is not only the focus in transnational MA,but also is the difficulties of the economic practice.Form the point of enterprise knowledge view,this paper describes the mechanism of tacit knowledge transfer in transnational MA as the following four: transfer's trigger mechanism,transfer's dynamic mechanism,organization diffusion mechanism,knowledge innovation mechanism.With these mechanisms,we propose a theoretical framework which can be the powerful explanation to tacit knowledge transfer,and basing on it,we find out that the factors of tacit knowledge transfer in transnational MA include the characteristics of tacit knowledge,enterprises' existing knowledge stock,enterprises' integration capabilities of tacit knowledge and the compatibility of MA cultural,which provide a theoretical basis for the government and enterprises to take affective measures to transfer the tacit knowledge in transnational mergences.
