摘要
国民经济发展对资源的强劲需求以及资源的战略性地位,通过对外并购的方式获得更多的海外资源成为中国企业的一个战略性举措。基于2009年中国企业海外资源并购的相关统计基础数据,对海外资源并购的区位分布、并购的方式与手段、并购主体、并购的支付方式进行了详细的分析,并结合2009年中铝并购力拓事件失败的原因,提出了海外资源并购的策略:鼓励多元化的主体参与并购;通过合作与联盟的方式参与并购;注意淡化国家色彩;采取低调扩张的策略;扩大并购目的地范围。
As the strong resources demand of the national economy development and the strategic position of resources,more overseas resources acquisition by way of merger and acquisition(MA) has become a strategic move for Chinese enterprises.Based on the statistical data of overseas resources MA by the Chinese enterprises in 2009,this paper makes a detailed analysis on the location distribution,manners and means,main body,payment pattern of overseas resources MA.Combining with the analysis on the cause of CHALCO's failure in injecting funds to Rio Tinto,some strategies about overseas resources MA are proposed:Encouraging diversified main bodies of MA to take part in overseas resources MA,Taking part in the MA by the means of cooperation and alliance,Weaken the "national colors",Adopting the strategy of low-key expansion,Increasing and expanding the target zones of overseas resources MA.
