论出资瑕疵股东的民事责任

股东出资事关公司独立责任和独立人格的构建,是公司对外承担信誉的重要基础,对维护交易安全有着重要的作用。但是在实践中,大股东虚假出资、抽逃出资等瑕疵出资现象时有发生,这不仅会影响市场交易安全和效率,导致着经济纠纷的产生,致使债务不明确,也侵犯了其他股东和债权人的利益。目前,我国公司法对于出资瑕疵股东民事责任的规定还有很大的不足,在实践操作中也存在很大的困难,本文对出资瑕疵股东民事责任这一问题进行分析并提出可行性建议,以期对我国法律的完善有所裨益。

Abstract：Shareholders＇ contribution relates to the company＇s independent liability and independent personality construct,it is the important foundation that the company of external take credit,played an important role to maintain the transaction security.But in practice,big shareholders false capital contribution and escape capital contribution frequently occurred,This will not only influence the market transaction security and transaction efficiency,causing economic disputes,causing debt is not clear,also invade other shareholders and creditors＇ interests.At present,the provisions of the company law to this aspect have the very big insufficient,in the practice also have a lot of difficulties,this paper contributive flaws shareholders civil liability to this problem,analyzes the problems and proposes Suggestions for improving China law.
