摘要
2010年,我国企业海外并购交易额爆发式增长。以国有企业为主体的海外并购活动,呈现出并购主体集中、区域集中和产业集中的特点。企业的国有特色导致并购活动易受政治因素影响,同时因战略目标不清晰、市场评价不准确、缺乏专业化国际人才队伍,我国企业海外并购成功率低于全球平均水平10个百分点。结合国家鼓励企业实施"走出去"战略,对我国企业未来实施海外并购提出几点建议。
The year 2010 sees an upsurge of the overseas M&A (Merger and Acquisition) trade volume of Chinese enterprises. The M&A activities conducted mainly by Chinese state-owned enterprises features concentration of the merging parties, the geographical regions and the industries. As the state ownership of these Chinese acquiring companies is susceptible to political factors, the success rate of the Chinese enterprises' overseas M&A is 10% lower than the global average rate, and the lacking of a clear vision in the strategic objective, inaccuracy in the market evaluation and shortage of the required talents specialized in international operations aggravate the situation. This paper, in line with the "Go Global" strategy advocated by the government, proposes some useful suggestions for China's enterprises in their future overseas M&A operation.
