公司法关联交易强制性规范解析——以《公司法》第21条为中心

关联交易中滥用控制权本质上是一种私人强制,其破坏了正义。国家必须施加强制。但我国公司法第21条这一具体强制规范要件不齐备,"利用关联关系"既不能成为"损害"的原因,也不能体现过错。因此,必须对以公司法第21条为中心的公司法强制规范进行重构,确立公平交易标准,并将程序规范与之连接以降低适用这个标准的成本。

In the Affiliated transaction,Abuse of c-ontrol is essentially a private coercion,which breaks justice.The government must exert legal control.But Article 21 of China＇s Company Law lack this control.So we must reconstruct,establish fair trading standard and connect with the procedural norms in order to reduce the cost of application of this standard.
