摘要
基于山西、河南等省煤炭企业兼并重组现状,分析了困扰煤炭企业兼并重组进程的三个难点及成因,指出兼并重组小煤矿成本高、风险大是影响兼并主体企业积极性的主要因素,政府的行政主导色彩过浓造成兼并重组的市场化运作水平较低,文化整合的忽略导致重组后一系列整合与管理的滞后,并分别从政府、社会、企业角度提出了相应的对策。
Starting from three difficulties and their causes in merging and restructuring based on the reform of coal enterprises in Shanxi and Henan provinces,this paper pointed out that reducing the cost and risk of merging and restructuring small coal enterprises,enhancing the market-oriented operation,and promoting the culture conglomeration were the successful keys for merging and restructuring coal enterprises.Then it proposed the countermeasures,which included the synergistic effects of government,society and enterprise.
