董事注意义务是现代公司立法上董事义务的一个重要组成部分,其立法价值在于完善公司治理结构以及保证市场经济的高速、健康运行等。但我国公司法对此规定相当简单,仍需在借鉴国外先进立法经验基础上进一步加以完善。
