商业银行参与公司治理的模式建构——基于财务管理的视角

Pattern Construction of Commercial Bank Participation in Corporate Governance——In the View of Financial Management

近年来,随着商业银行自身治理模式的逐步完善,越来越多的人更关注商业银行对自身外公司治理结构的影响。文章运用风险—报酬、债券评估等财务管理模型和相关理论知识,分析我国商业银行参与公司治理的必要性及可行性,并借鉴德国、日本商业银行参与公司治理模式的经验,建构出我国商业银行参与公司治理的有效模式:即提高商业银行在股东大会的地位;由股东大会任命的董事会和监事会成员中,适当增加商业银行参与公司治理中的人员比例,将有利于维护商业银行自身利益并改善公司的治理状况。

In recent years,with perfecting gradually of commercial bank＇s own governance pattern,more and more people pay more attention to how commercial bank influences the corporate governance structure except itself.This paper applies risk-return,bond appraisal and other financial management model and related theory knowledge,analyses the neccessity and feasibility of commercial bank participation in corporate governance（CBPCG） in China,learns from Germany and Japanese＇s experiences in CBPCG pattern and then constructs CBPCG effective pattern in China,from improving the status of shareholder＇s meeting,increasing the proportion of personnel to participate the corporate goverance.
