产权制度改革是近年来我国国有企业改革的主要内容，也是理论界、学术界和企业界讨论的热点之一。建立现代企业制度是我国企业改革的方向，其中的关键问题是企业法人产权制度。本文综述了法人产权制度的特征是产权明晰，分析了传统体制和现时的产权制度状况，探讨了国有企业必须遵循产权明晰化的思路推进企业改革，从而建立现代企业制度等问题。

The property rights reform is the main content of the state-owned enterprises (SOEs) of our country in recent years. It is one of the discussing hot points in theoretic, academic and business circles. Establishing the modern enterprise system is the direction of the enterprise reform in our country, in which the key problem is the corporate property rights system. In this article, the writer summarizes that the feature of corporate property rights system is property rights clarity. After analyzing the traditional system and the present situations of property rights, it discusses out the SOEs must push on the enterprise reform following the train of thought about property rights clarity, thus establish the modern enterprise system.
