摘要
从法律的角度分析发现,在不同的网络团购环境下,电子券的运用和网站收取货款是两个关键要点;团购网站和商家具有完全不同性质的合作关系,即;Groupon式团购网站和商家之间首先应当是一种委托关系,然后商家又以自己的名义跟消费者发生了直接的团购交易关系,进而Groupon式团购网站又从商家处获得相应的佣金报酬。因此,将Groupon式团购网站、商家和消费者三者间的关系界定为行纪合同关系更为合理。
From the view of law,the research shows that,in different online groupon environment,the keys are use of e-ticket and website collection of payment.There is absolutely different cooperation between the group-purchase website and the sellers,i.e.on the first hand,there exist a trust relationship between Groupon website and sellers,secondly,a direct group-purchase relationship between the sellers and consumers,and then the Groupon website achieve related commission from the sellers.Therefore,the relationship among Groupon website,sellers and consumers is better defined as a contract of commission agency.
