民办高校法人分类制度的立法困境与出路

The Law-making Dilemma and the Outlet of the Classification System of Legal Persons in the Private Colleges

民办高校法人分类问题是民办高校法制建设的基础和前提。我国现行民办学校法人分类制度陷入立法上的困境:即一方面其难以涵摄民办高校这种新型社会组织,另一方面"民办非企业单位"这个独创性称谓也存在制度上的缺陷。解决该问题的出路是将我国民办高校区分为营利性法人和非营利性法人,并建立和完善相应的法律制度。

The problem on classification of legal persons is the basis and prerequisite in improving the legal system of the private colleges.This kind of classification of legal person in the private colleges faces lawmaking dilemma：On one hand,it does not include private college which is a new type of social organization;on the other hand,the people-run non-enterprise unit as an original appellation exists defects in the present system.As a result,there is an outlet that we may divide the private colleges into corporation for profit and non-profit and set up and perfect relative legal systems.
