摘要
随着创业板的上市和新股发行的加速,保荐人制度不仅在转会频繁、执业不作为和专业能力差等方面存在具体的问题,而且还存在保荐人权责不清,保荐人与发行人、证监会和其他中介机构的职责不清等问题。文章认为,保荐人制度应从"双保制"回归到"单保制",明确保荐人的权责并进行监督及惩处,建立一个充分竞争、诚信的保荐人市场。
With the open of growth enterprise market and acceleration IPO, some problems of sponsor system are further revealed, not only transfer frequently, operation does not take and a poor specialty capacity and so on, but also indistinct rights and liabilities about sponsor system, sponsor and distributor, China Securities Regulatory and other mediator. Therefore, author proposes suggested solutions.
