我国法人独立责任若干反思

Some Reflections on Validity of the Independent Corporate Liability

法人独立责任是我国在计划经济向市场经济转型时期,借鉴苏俄民法典形成的。它在我国民法中占据着极其重要的地位,其重要性主要体现在将独立承担民事责任作为判断某一团体取得法人资格的要件之一。而法人独立责任已经不适合市场经济发展的需要,当前,有必要对我国的法人独立责任制度进行反思,赋予合伙企业的法人独立地位及非独立式法人责任制度,开辟我国法人责任制度的新出路。

The independent corporate liability was shaped by using the USSR Civil Law Code for reference during the transition from China＇s planned economy to a market one. The independent corporate liability, the characteristic China＇ s legal concept, occupies a crucial position in China＇ s Civil Law, which embodies whether China＇ General Principles of the Civil Law independently assumes the Civil Responsibility judged as one of the symbols of the possibility of gaining corporate capacity for a group. However,the independent corporate liability can＇t meet the need of market economy any more. Therefore, it is necessary to reflect the system of legal independent corporate liability and open up a new road of China＇ s independent corporate liability system.
