论商业判断规则的适用

Application of Business Judgement Rule

董事作为公司的业务决策者,对公司负有忠实与勤勉义务。对董事是否履行了对公司的注意义务,其判断标准的宽严将直接影响董事的任职风险。源于美国的商业判断规则在各发达国家已得到普遍适用,已成为认定董事注意责任的一个重要规则。但在适用商业判断规则时,需注意平衡董事的任职风险与股东利益,否则,董事要么在注意义务的约束之下变得畏首畏尾,要么商业判断规则就成了放纵董事过错的一个借口。

As a policymaker of a corporation, the director is obliged to be loyal and sedulous to the corporation. Concern- ing whether the director carries out the duty of care, the criteria of judgement directly influence how the director behaves himself. The business judgement rule which originated in America is generally applied in developed countries and has become an important criterion for exempting director＇ s duty of care. However, the director＂ s risk and the shareholders＂ interests should be well balanced in the application of business judgement rule ; otherwlse the director may flineh under the duty of care or pamper himself with the exemption rule.
