规制矿产资源企业以矿业权出资的立法思考

以矿业权出资在中国矿业权市场运作中不乏其例,但是由于缺乏操作、管理和立法的有效规制,对矿产资源企业的运营发展,尤其是融资环节会造成不利影响。因而,中国有必要借鉴国外矿业权出资立法的做法,明确对矿业权出资的立法态度,探讨矿产资源企业以矿业权出资的适格性,并在此基础上确定以矿业权出资需要具备的实体性和程序性要件,提出规制矿业权出资的法律框架,以期对有效防止矿产资源的流失有所裨益。
