Study on Independency Problems of Independent Directors from "Auditing Event in Leshan Power"

独立董事制度在我国上市公司治理中发挥着十分重要的作用,本文通过对“乐山电力审计事件”的分析,从法律法规、选聘机制、激励约束机制、责任保险机制、与监事会关系等方面对独立董事的独立性问题进行了分析,并提出了相应的完善措施。

The independent director system plays an important role in the corporate governance.Through analyzing 'Auditing Event in Leshan Power',this text analyzes the independency problems of independent directors in aspect of laws and regulations,mechanism of employing selectively,mechanism of inspiration&restriction,mechanism of liability insurance,relationship with board of supervisors and so on,and put up with corresponding perfect measures.
