Discussion on the Construction of Managing Structure of the Legal Person in the Company

公司法人治理结构是公司制的重要组织形式。但目前相当多的公司内部治理制度不规范,主要表现为股东与经理之间委托代理关系不明确,对经营者缺乏健全的制约、激励机制,“三会”形同虚设;外部宏观法律制度如产权制度、资产评估制度、破产制度等也需要完善。完善法人治理结构,要进行制度创新,改革国有资产管理制度,建立按要素分配的分配制度,健全“三会”制衡机制。

The managing structure of the legal person is the important organic form in the company,but nowadays quite a few companies have not normal regulations,especially the agent relationship between the mangers and the stockholders is not clear,to the runners,the companies lack the estriction and competition 'Three committee' exists in name only;the external legal system needs to be perfected.
