随着《全民所有制工业企业转换经营机制条例》的深入贯彻．转换企业经营机制已成为企业的迫切任务．本文对企业在转换经营机制中存在的主要问题一劳动人事制度和分配制度作了些浅析．提出要以“民主、竞争、优化”的原则来改革劳动人事制度，以按劳分配的原则来改革工资奖金分配制度．并初探了政府改革方面的配套措施．

With our carrying out the Rule on the transformation of an industrial state-owned enterpries's operation system deeply,the transformation has become a proning task of an enterprise.This peper probes into the major Problems which exist in the rtansformation,including the institudons of personnel and distribution. The writer points out the principlis of Democracy,Competitionof permnnel and of Distribution according to work to reform the institution of the distribution ofwages and bonus. The matching measures which the government should take in its reform are discussed.
