摘要
"十二五"规划提出了煤炭企业通过资源整合、兼并重组方式发展大型煤炭企业集团的战略目标,煤炭企业能否有效兼并整合,关键在于并购模式的选择。本文综述了国内外学术界对企业并购模式选择的不同观点,以SWOT模型为基础,对企业并购模式选择作了可行性分析,制定出煤炭企业集团并购模式战略选择的分析框架,并以开滦集团进行案例分析。
The Twelfth - Five Planning has come up with the strategic goal that coal enterprises develop large scale enterprise group by resource integration and merging and recombination. Whether or not coal enterprises can be merged and integrated depends the selecting of merging models. This paper has reviewed the different views on the selection of enterprise merging models The academic circles at home and abroad, and based on SWORT medel, the paper conducted feasible analysis on the enterprise merging model, formulated the analysis framework for selecting merging model strategies for coal enterprise group., and taken Kailuan Group as analysis case.
