摘要
商誉标示的是企业外人士对企业的感知和判断。虽然CISG对包括商誉在内的具体损失类别没有做出规定,致使商誉损失存在认定上的困难,但鉴于商誉在现代商业实践中的重要意义和商誉作为一种损失类别的相对独立性,根据CISG损害赔偿的完全赔偿原则,应该把商誉损失纳入CISG的受损害方因对方违约而遭受损失的范围。受损害方应承担举证责任,而合理确定地证明其因为对方违约带来的商誉损害而遭受的损失数额,在实践中确实存在相当的难度。
Commercial reputation identifies the impression and judgment of outsiders on a specific company. Though there is no special rule about it in CISG and there are difficulties in assessing it, taking into consideration its significance in modern commercial practices and its relative independence as a category of loss, commercial reputation shall be contained into coverage of aggrieved party' s losses. The aggrieved party shall under the burden of proof to prove with reasonable certainty the amount of loss incurred by breach and damage to commercial reputation. However, to prove the amount with reasonable certainty is of great difficulty in practices.
