摘要
研究善意取得转让合同的效力问题可以解决《物权法》第106条与《合同法》第51条法律适用的理论困惑和冲突。善意取得制度不应该遵循《物权法》中规定的一般物权变动模式(即我国所采原则上债权形式主义),因为善意取得制度本身之设立就在于以牺牲财产的静的安全来维护交易财产的动的安全。只要适用《合同法》第51条的规定,善意取得之转让合同的法律属性就应该被认定为无效。
A Study of the effectiveness of transferring contract of bona fide acquisition helps to deal with the theoretical confusion and conflict between Article 106 of Property Law and Article 51 of Contract Law in their application. Bona fide acquisition should not follow the general rule of transferring property right which is stipulated in Property Law in our country, for the system of bona fide acquisition sacrifices the static security of property to defend the dynamic security of property trade. When Article 51 of Contract Law is applied, the transferring contract of bona fide acquisition should be legally invalid.
