Discussions on the Influence of Modern Firm Theory on Corporate Law

西方现代企业理论对现代公司法理论构建和制度建设产生了深远影响。通过对现代企业理论中不完全契约理论和产权理论观点的梳理,探究公司法理论和制度对于现代企业理论的回应,以现代企业理论—公司法理论—公司法制度为路径展开研究。研究表明不完全契约理论直接导致了公司契约理论的产生,在公司法制度方面体现为缺省性规范和授权性规范的大量存在以及在公司治理中强调以信息披露为中心的市场机制。而公司法中的委托-代理理论、利益相关者理论及其制度构建也受到了现代企业理论的影响。

Modern firm theory brought about profound effects on the construction of modern corporate law theory and system.This article focuses on the internal relationship of modern firm theory,corporate law theory and corporate system by summarizing the idea of non-complete contract theory and property right theory of modern firm theory,and exploring the response of corporate law and system to modern firm theory.It shows non-complete contract theory directly leads to the formation of corporate contract theory,which is embodied in a large number of default and enabling rules and emphasis on market mechanism centered on information disclosure in terms of corporate system.And the agency theory,stakeholder theory and system construction are also influenced by modern firm theory.
