浅论关联公司制度的完善

Discussion on Improving System of Affiliated Company

关联公司虽然已经成为一种比较广泛存在的经济现象,但因尚未形成较为完善的法律法规体系,导致在实践中从属公司债权人利益常常被以合法的形式所侵害。介绍了关联公司发展概况,分析了关联公司中侵害从属公司债权人利益的种种表现,剖析了我国保护从属公司债权人利益的立法现状存在的缺陷,提出了保护我国关联公司中从属公司债权人利益的建议。

Although affiliated companies has become a widespread economic phenomena,incomplete system of laws and regulations bring out interest of creditor are harmed in lawful pattern.In this paper,the author introduced status of development of affiliated companies,and analyzed representation of harming interest of creditor.Finally,the author analyzed existing defects in legislation status of creditor interest,and put forward suggestions of protecting creditor interest of subsidiary companies in affiliated companies.
