The paper analyses the developing trend of foreign management system of natural resources and character of land and resources in china. Then, it points out the basic guideline of adjstment of administrative structure of land and resources management, from the four aspects of administrative resources distribution, administrative policy making management, division of administrative funtion, relationship of administrative management, transfer form of administrative righes.
